ARTICLE I: NAME & PURPOSE .
Section A: Name – The name of this club shall be Impact 360 Alumni Association.
Section B: Purpose – The purpose of this club shall be: The Purpose of the Impact 360 Alumni Association shall be to encourage and support Impact 360 alumni in being Christ-Centered Servant Leaders; to foster continuing fellowship among the Alumni of the Impact 360 program; and to support the institution of Impact 360.
ARTICLE II: MEMBERSHIP & DUES
Section A: Eligibility - Membership shall be open to graduates of the Impact 360 Gap Year, Scholars, and Masters program upon payment of the dues as outlined in Section B.
Section B: Dues – Dues are required to be paid by all members of the association. The due amount will be decided by the Impact 360 Alumni Association Board.
ARTICLE III: BOARD MEMEBERS
Section A: Board Members – There will be a board of seven members. The board will appointment a chairman, vice chairman, secretary and treasurer.
Section B: Eligibility – Board members must be a graduate of the Impact 360 Fellows, Scholars or Masters programs. The member has to be recommended by someone in the Impact 360 Alumni Association to be on the ballot.
Section C: Election – The board members shall be elected through electronic ballots. The ballots will be open for one week for all members of the association to vote on. The election will be held in the first month of the year, every year a board members term has ended.
Section D: Term – The board members shall serve a three year term. The terms will be staggered so that a few board positions each election will be vacant.
Section E: Vacancy – If a vacancy occurs in the office of Chairman, the Vice-Chairman shall assume the office for the remainder of the term and vacancies in any other office shall be filled by a special election.
ARTICLE IV: DUTIES OF OFFICERS
Section A: Duties of all Board Members - the alumni association delegates these responsibilities and duties to all board members • Run the Impact 360 Alumni Association • Make decisions for the benefit of all alumni • Fulfill the purpose of the association
Section B: Chairman – it shall be the duty of the Chairman to: • Preside at meetings • Vote only in case of a tie • Represent the club • Appoint committee chairpersons subject to the approval of the Executive Committee • Serve as an ex-officio member of all committees except the nominating committee • Perform such other duties as ordinarily pertain to this office
Section C: Vice-Chairman – It shall be the duty of the Vice-Chairman to: • Preside in the absence of the Chairman • Serve as chairperson of the Program Committee
Section D: Secretary – It shall be the duty of the Secretary to: • Record the minutes of all meetings • Keep a file of the club’s records • Maintain a current roster of membership • Issue notices of meetings and conduct the general correspondence of the club
Section E: Treasurer – It shall be the duty of the Treasurer to: • Receive all funds and process Request for Payment, Deposit Slip, and Officer Signature Forms. • Keep an itemized account of all receipts and expenditures and make reports as directed
ARTICLE V: MEETINGS OF THE BOARD
Section A: Meetings – Regular meetings shall be held at least quarterly during the year.
Section B: Special Meetings – Special meetings may be called by any member of the Board.
Section C: Quorum – A quorum shall consist of two-thirds (2/3) of the membership.
Section D: Parliamentary Authority – Robert’s Rules of Orders, shall govern this association in all cases to which they are applicable and in which they are not inconsistent with these bylaws.
ARTICLE VIII: COMMITTEES
Section A: Program Committee – A program committee composed of the Vice-Chairman as chairperson and three other members shall be appointed by the Chairman, whose duty shall be to plan the overall program of the association.
Section B: Other Committees – Reunion committee, service committee, fundraising committee, networking committee, etc.
Section C: Special Committees – The Chairman shall have the authority to appoint any special committees, with the approval of the other six board members, from time to time as need demands.
ARTICLE IX: AMENDMENTS
Section A: Selection – Any member of the association can propose an amendment. These bylaws may be amended by a two-thirds (2/3) majority vote of the association membership.
Section B: Notice – All members shall receive advance notice of the proposed amendment at least five days before the meeting. [The time may be extended to the following meeting.]
